The maker of the humanoid Digit is merging with a listed shell company and is due to trade on Nasdaq from 5 November. Almost at the same time, the logistics company GXO is expanding its use of Digit.

Agility Robotics from Salem in the US state of Oregon is merging with the listed shell company Churchill Capital Corp XI. Completion is planned for 4 November, and from 5 November the shares are to trade on Nasdaq under the ticker AGLT. Before that, the shareholders' meeting of Churchill XI still has to approve the deal.

Gross proceeds of around 465 million US dollars before costs are expected. About 164 million come from the shell company's trust account, around 201 million from additional investors led by Foxconn, and 100 million have already been received. When the deal was announced in June, the figure was more than 620 million, but that number assumed that no shareholder would redeem their money.

Revenue still small, orders larger

According to the listing documents, Agility had revenue of 1.8 million dollars in 2025. For the next generation Digit 5, the company reports multi-year orders worth more than 300 million dollars, with first customer deliveries planned for the first half of 2027. Its backers include NVIDIA, Amazon and Schaeffler.

Almost at the same time, the logistics company GXO announced that it will use Digit at two more sites in the USA. It starts in early 2027 with the current model Digit 4. GXO has worked with the robot since 2023 at its warehouse in Flowery Branch, Georgia, where according to Agility it has already moved more than 100,000 totes. The first agreement was a rental model in which the robot is paid for as a service.
