X-Tech Water System e.K., trading as "X-Tech Robotics" (online shop "Droidenmarkt")
Owner Thomas Nitschinger, 84508 Burgkirchen an der Alz, Germany (address for service of process: see Legal Notice)
– hereinafter the "Provider" –
(1) These Terms and Conditions apply to all contracts for the supply of goods (in particular robot systems and accessories) and related services (commissioning, instruction, maintenance, hire) concluded between a consumer or business customer and the Provider via this online shop or on the basis of an individual quotation.
(2) A consumer is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their trade, business nor their independent professional activity (Section 13 of the German Civil Code, BGB). A business customer (Unternehmer) is a natural or legal person, or a partnership with legal capacity, who, when entering into the legal transaction, acts in the exercise of their trade, business or independent professional activity (Section 14 BGB).
(3) Terms of the customer that deviate from these Terms and Conditions shall not become part of the contract unless the Provider expressly agrees to their validity in writing.
(4) For the hire of robots, the Provider’s Rental Terms apply with priority. Robots are hired to businesses only.
(1) The product listings in the online shop do not constitute a legally binding offer, but a non-binding invitation for the customer to place an order.
(2) By submitting an order via the order button, the customer makes a binding offer to conclude a purchase contract. The Provider confirms receipt of the order without undue delay by email; this acknowledgement of receipt does not yet constitute acceptance. The contract is only concluded once the Provider accepts the order by way of a separate order confirmation in text form, or delivers the goods — at the latest, however, through express acceptance upon expiry of five business days after receipt of the order.
(3) For products marked "Price on request," the contract is concluded exclusively on the basis of an individual quotation from the Provider and its acceptance by the customer.
(4) The text of the contract is stored in accordance with our Privacy Policy; the order data is sent to the customer by email. The language of the contract is German.
(1) All prices stated in the shop are in euros and include statutory VAT, plus shipping or freight costs (see Shipping Information).
(2) Available payment methods: advance payment by bank transfer, PayPal, credit card, and — for business customers, subject to a prior credit check — purchase on account. Details under "Payment Methods."
(3) For made-to-order goods (products procured or manufactured by the manufacturer only after the contract is concluded), the Provider is entitled to request a deposit of up to 30% of the purchase price; the remaining balance is due before delivery. The customer will be informed of this separately before the contract is concluded.
(4) The statutory provisions apply in the event of default of payment.
(1) Delivery is made within Germany; deliveries to other countries only by individual agreement.
(2) Robot systems are generally delivered by freight forwarder (kerbside, with advance notice of the delivery appointment). Delivery times stated on product pages are non-binding estimates unless expressly identified as binding. If a product is marked as a pre-order, the delivery period begins once it becomes available from the manufacturer; the Provider will inform the customer of any delays without undue delay.
(3) Partial deliveries are permitted to the extent reasonable for the customer; the customer will not incur any additional shipping costs as a result.
(4) For consumers, risk of accidental loss passes upon handover of the goods. For business customers, risk passes upon handover to the carrier.
(5) Any recognisable transport damage should, where possible, be reported to the delivery driver immediately and notified to the Provider; this does not affect the customer's statutory warranty rights.
(1) The goods remain the property of the Provider until paid for in full.
(2) In addition, for business customers: the customer may resell the goods subject to retention of title in the ordinary course of business; the customer hereby assigns to the Provider, who accepts the assignment, all claims arising from such resale in the amount of the invoice total.
(1) The statutory provisions on liability for defects apply.
(2) For business customers, the limitation period for claims for defects in new goods is one year from delivery; this does not apply to claims for damages, claims arising from fraudulently concealed defects, or claims under the German Product Liability Act.
(3) Manufacturer warranties, where applicable, exist in addition to the statutory rights; their scope is set out in the manufacturer's respective warranty terms.
(1) The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
(2) In the event of slightly negligent breach of material contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place, and on whose observance the customer may regularly rely), liability is limited to the foreseeable damage typical for this type of contract. Liability for slight negligence is otherwise excluded.
Robot systems may only be operated in accordance with the documentation supplied and applicable safety regulations. Additional inspection and operator obligations (e.g. a risk assessment) may apply to commercial use; compliance with these is the operator's responsibility.
Consumers have the statutory right of withdrawal in accordance with our withdrawal instructions. Among other things, no right of withdrawal exists for goods that are not prefabricated and for the manufacture of which an individual choice or decision by the consumer is decisive (custom configurations).
The European Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr. The Provider is not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.
(2) If the customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction is the Provider's registered office.
(3) Should individual provisions of these Terms and Conditions be invalid, the remainder of the contract shall remain valid.
